1. Acceptance of Terms

By accessing or using ClipBake ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. The Service is intended for individuals who are at least 13 years of age. If you are using ClipBake on behalf of an organization, you agree to these terms on their behalf.

2. User Content & Intellectual Property

You retain 100% ownership of all video footage (Ingredients), notes, timecodes, and exported sequences created or uploaded to ClipBake. ClipBake claims zero intellectual property rights over your materials. You grant us only the limited license necessary to host, encode, vectorize for search, and display your content to you within your workspace.

3. Acceptable Use & Prohibited Content

You agree not to upload, store, or process any video content or notes that:

• Violate any applicable laws, copyrights, or intellectual property rights of third parties.
• Contain explicit child sexual abuse material (CSAM), non-consensual sexual content, terrorism, hate speech, or severe violence.
• Contain viruses, malicious scripts, or automated scripts designed to exploit or spam the Service.
• Attempt to reverse engineer, scrape, or excessively overload our AI search embeddings API and storage infrastructure.

We reserve the right to immediately remove any infringing or illegal content and terminate offending accounts without prior notice.

4. AI Search & Machine Learning Disclaimer

ClipBake utilizes AI vector embeddings to deliver semantic search. While we strive for high accuracy, AI search results are provided as an assistive tool. We do not warrant that AI retrieval will locate every single relevant timestamp or be 100% error-free.

5. Import, Export & Data Disclaimer

ClipBake is provided on an "AS IS" and "AS AVAILABLE" basis:

• We do not guarantee that exported XML sequences (Premiere Pro XML, DaVinci Resolve XML) will be perfectly compatible with every NLE version or third-party codec.
• You are responsible for your own video backups. ClipBake is an indexing workspace, not an archival disaster recovery service. We are not liable for lost raw footage, corrupted uploads, or lost notes.

6. Subscriptions, Storage Quotas & Billing

Paid subscription plans are billed on a recurring monthly or annual basis. Accounts are subject to storage, asset size (e.g., 10GB per file), and AI query limits based on the selected plan. We reserve the right to enforce fair use limits to prevent infrastructure abuse. You may cancel your subscription at any time via your account settings.

7. Account Termination & Suspension

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without liability, if you violate these Terms, engage in abusive usage, or cause harm to the platform or other users.

8. Copyright & DMCA Inquiries

If you believe content hosted on ClipBake infringes your copyright, please submit a takedown notice to [email protected] with proof of ownership.

9. Limitation of Liability

To the maximum extent permitted by applicable law, ClipBake and its operators shall not be liable for any direct, indirect, incidental, consequential, or punitive damages resulting from the use of, or inability to use, the Service—including software crashes, production deadline delays, or data loss.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved under the competent jurisdiction of courts in Vietnam.

11. Changes to Terms & Contact
